What is a Holding Company?

A holding company is a vertical form of association of commercial enterprises. It is established without the need for a formal contract or specific consent between participants. This form of organization typically involves a parent company that holds control over one or more subsidiaries.

The parent company may or may not be engaged in direct production or commercial activity. Its main purpose is to build a network of subsidiary companies—sometimes numbering in the hundreds—in which it participates either through ownership or management influence.

Purpose and Structure

A holding company operates as a centralized management body. It is usually a joint-stock company (JSC) or a limited liability company (LLC) that:

  • Participates in other businesses or manages them in various forms

  • May also operate its own production or economic activity

  • Must own at least 25% of the capital of the companies it controls, contributed directly

These companies, in which the holding has a share, are referred to as subsidiaries. While they remain legally and financially independent, the holding company retains the right to make strategic decisions and to coordinate activities across the group.

  • Legal Autonomy: Each entity in the holding maintains its legal and operational independence.

  • Capital Pooling: The holding consolidates capital and redistributes it for strategic growth.

  • Management Oversight: Through ownership or contractual agreements, the parent company oversees the strategic direction of its subsidiaries.

  • Flexible Operations: The parent company may or may not engage in commercial or manufacturing activities.
